About these terms

By using the site, and/or accessing and using the games you agree to be bound by these terms.

Please read these terms carefully. They form a binding contract between you (the person or entity using our services) and us (Jolly Bear Games Limited, NZ company no. 8179884).

If you do not agree to these terms, do not access or use the site or the games. If you do not agree to these terms, then we do not grant to you the license to access and use the games.

We may update the terms of this agreement from time to time. When we do this, we will publish a revised version on our website, or notify you using a player-notification system.

The updated terms will apply to you 30 days after they are published on our website or otherwise notified to you.

By continuing to access and use the site and/or games, you will be taken to have accepted the latest terms. We recommend you periodically check the website for updates.

Situations where other terms may apply

Our games may contain materials that are not owned by us, but that we use under licence, and we (or our licensors) may protect these rights.

These materials may be subject to additional third party terms and conditions. We will notify you if third-party terms will apply. Please read any third party terms carefully. You must agree to any such third-party terms if you wish to use our games.

About our games

In these terms, "games" includes all software included with the video games, the associated media, any updates and upgrades that replace or supplement the software not distributed with a separate license, any software associated with the online mode of the video games, any printed materials, any online or electronic documentation, and any and all copies of such software and materials.

We may modify, replace, suspend, or discontinue the site and any of the games at any time, with or without notice.

Your use of our site and our games

You must be at least 18 years old to use this site and the games

How to access our games

Our games do not require downloading, and may be accessed from your internet browser.

You do not need to register with us to access and use our games. However, we recommend you sign into the site as without sign-in, you will be limited in what services and games functions that you can access.

To sign in, you must enter your email address, following which you will be emailed a confidential code to facilitate the sign-in. Alternatively, you can sign in using your account with one of our partners.

You promise that all information you provide when you use our site and games, including information you provide us when signing in, is true and accurate.

All activities that occur under your account are your responsibility. To the extent permitted by law, we are not responsible for any unauthorized use of your account. You must immediately notify us of any actual or suspected unauthorized use of your account or any other breach of security in relation to the games.

We grant you a licence to use the site and games

We grant you a non-exclusive, non-transferable, non-sublicensable, limited right and license to (i) view and use the site, and (ii) access and use the games, in each case solely and exclusively for your personal and non-commercial use.

This license does not give you any right, title or interest other than as described above. All rights not specifically granted under these terms remain with us and our licensors.

You may only use the site and games in accordance with these terms, and in accordance with the licence described above.

You must abide by any safety information, maintenance instructions or other relevant notices contained in the manual or other documentation for the games.

Things that you can't do with our site and games

You must not:

• exploit the games or any of its parts commercially, in any manner or at any location;
• sell, rent, lease, license, distribute or otherwise transfer the games or any copies;
• reverse engineer, derive source code, modify, decompile, disassemble, copy, or create derivative works of the material on this site or the games, in whole or in part;
• remove, disable or circumvent any digital rights management, security protections, proprietary notices or labels contained on or within the games or hack or circumvent the games or any protections on VC (as defined below);
• export or re-export the games or any copy or adaptation in violation of any applicable laws or regulations;
• create data or executable programs which mimic data or functionality in the games;
• cheat, interfere with, hack or use bots in conjunction with, the games.

You must comply with our user content rules

We may provide you with the ability to upload or input user generated content. For example, we may provide you with access to general community and support forums, and online chatrooms.

You own your user generated content and are fully responsible for it. If you choose to upload or input use generated content, you must comply with our user content rules, which are listed below.

You must not:

• post any content that is unlawful, defamatory, threatening, or otherwise offensive;
• infringe any person's privacy;
• post any content that could infringe the intellectual property of a third party;
• impersonate anybody else;
• take any action that could harm us or anyone else.

Where you upload or input user generated content, you grant us a worldwide, perpetual, irrevocable, sublicensable, non-exclusive and royalty-free licence to use, copy, adapt, or modify that content, for the purposes of providing you with our services. To the extent permitted by law, you waive your moral rights to your user-generated content.

We may post additional user content rules on our site or within our games. You must not encourage or assist any person to take any action or inaction that could breach our user content rules.

You may make in-game purchases

Our games may provide you with the opportunity to purchase virtual in-game fictional currencies using real money. These virtual currencies may be exchanged to purchase limited rights to other features of our games, such as power ups, game content packs, and additional pin-boards.

Our games may also provide you with the opportunity to earn virtual in-game fictional currencies directly through in-game progression and by completing challenges.

You accept that we have the absolute right to manage, regulate, control, modify and/or eliminate such VC and/or virtual items as it sees fit, and that we will have no liability to you based on its exercise of such rights.

However, we will not remove any virtual currency in your possession without first giving you at least 30 days to spend it within the relevant game. This 30 day rule does not apply where we choose to shut-down your account due to your breach of these terms, or where we need to immediately remove or modify the VC for legal or regulatory reasons.

VC and/or virtual items have no real value and are not transferable or redeemable for any sum of real world money or monetary value. You must not use VC and/or virtual items for any kind of wagering, betting or gambling either within or outside of our games.

You acknowledge that at no time do you own, nor have any right to, the intellectual property affiliated with VC. When you obtain VC from us, we are giving you a limited, personal, non-exclusive, non-transferable, non-sublicensable licence to use that VC solely in connection with your use of the applicable game.

You are prohibited from reselling or distributing VC outside of the games without our express written consent.

Please note that, to the extent permitted by law, you may not be entitled to a refund if you simply change your mind about a purchase.

Epilepsy and health warnings

If you elect to use the games, you should take certain standard health and safety precautions, such as avoiding using the games when tired, taking 10 to 15 minute breaks every hour, sitting a reasonable distance from the screen, and using the games in a well-lit environment.

If you or anyone in your family has ever had symptoms related to epilepsy (such as, seizures or loss of consciousness) or headaches when exposed to flashing lights or contrasting visual patterns, you should consult your doctor prior to using the games.

You must immediately cease using the games if you experience any symptoms of dizziness, blurred vision, headaches, eye or muscle twitches, loss of consciousness, disorientation, or any involuntary movement or convulsion.

Use of our site and games outside New Zealand

Although the site and the games may be accessible worldwide, we make no representation that the site, the games or related materials are appropriate or available for use in locations outside New Zealand. You must not access the site or games from territories where doing so is prohibited.

If you choose to access the site and/or the games from other locations, you do so at your own initiative and are responsible for compliance with any applicable local laws.

Terminating or suspending your account, and other limitations

We may restrict or shut-down your account (and therefore your access) to the site and the games at any time, with or without notifying you, if we consider that you have breached these terms.

We may choose to temporarily or permanently discontinue Gamepins at any time. If we choose to do this, we will give you reasonable notice of the discontinuance (unless we need to urgently discontinue Gamepins due to legal compliance reasons, or for maintenance or updates that we consider to be urgent).

We can also restrict or revoke your access at any time if this is required by law. We may terminate inactive game accounts at any time for any reason.

You may terminate your account and discontinue your use of the site and games at any time.

Without prejudice to any other rights we may have, where you fail to comply with these terms, and where you or we terminate your account, all rights and licences you may have to use the site and the games will automatically terminate. In these situations, you must cease all use of the games, and remove any copies of the games from your browser cache.

We retain ownership of all rights to the site and games

You agree that you have no ownership or other property interest in our site or the games, and that all such rights are owned by us and inure to our benefit.

Except as expressly licensed to you, all right, title, and interest in and to the site and the games and all copyrights, trademarks and intellectual properties (including any patches, updates, copies, derivative works, titles, computer code, themes, objects, characters, character names, stories, dialogs, catch phrases, locations, concepts, artwork, images, animation, sounds, musical compositions, audio-visual effects, text, methods of operation, moral rights, "applets" incorporated into the games, and any related documentation) are owned by us or our licensors.

Interruptions and errors

We cannot guarantee that the site or the games will be uninterrupted or error-free.

You accept that your access and use of the site and games is done at your own risk, and that you are fully responsible for any damage to your computer system or loss of data that results from such activities.

We are not responsible for storing your games data. You accept that your game progress data and/or virtual items (including virtual currencies) are managed by third party platforms that we do not control. If you use the games on a mobile device, the games will use your data unless you use Wi-Fi. Your carrier may block or limit access to the games.

Our liability to you is limited

To the extent permitted by law, we do not provide any express guarantees, conditions, or warranties in relation to the site or the games, other than as expressly set out in these terms.

We will not be liable to you for any damage or loss of an indirect, consequential, or special nature (including any loss of profit, loss of opportunity or loss or corruption of any data or information), arising out of this agreement or your use of the site or games, whether or not we have been advised of the possibility of such damages.

Where you are a Gamepins user that has purchased virtual currency from us, then, to the extent permitted by law, our total liability to you for any loss or damage you suffer in connection with Gamepins or these terms will not in any circumstances exceed the amount you spent on the applicable virtual currency.

Where you are using the Gamepins games and site for free, and have not purchased virtual currency from us, then, to the extent permitted by law, we will not be liable to you for any loss or damage you suffer in connection with Gamepins or these terms, including (without limitation), for any direct losses that you may suffer.

The limitations and exclusions above apply to all liability (including for negligence), regardless of the legal basis of the claim.

Some laws contain non-excludable warranties, guarantees or other rights. For example, the New Zealand Consumer Guarantees Act 1993 permits the recovery of consequential loss in certain circumstances. These terms do not in any way exclude or restrict any non-excludable or modifiable statutory rights or benefits you may have.

You may be required to indemnify us

As far as permitted by law, and without limiting any other rights we may have under these terms or at law, you agree to defend, indemnify, and hold us and our affiliates harmless from all liabilities, claims, losses, costs and expenses, including attorney's fees that we suffer or reasonably incur in connection with any third party claim made or brought against us, where the claim is wholly or partly attributable to your breach of these terms.

However, you will not be liable to the extent that we have caused or contributed to such losses through our own negligence, breach of these terms, or unlawful conduct.

Third Party Content and Ads

Certain information, content and advertisements displayed on or within the site and/or the games may be provided by third parties. We are not responsible for the content or nature of any of this third party content.

Third party content is, in each case, the intellectual property of the creator/licensor. You agree that you have no right to download, cache, reproduce, modify, display, edit, alter or enhance any of the third party content in any manner unless you have permission from the owner of the relevant content.

Dispute Resolution

If a dispute arises in relation to these terms, we will first attempt to resolve the dispute together with you. This term does not prevent us from seeking urgent injunctive relief against you.

Miscellaneous terms

These terms represent the complete agreement between you and us concerning the site and the games. These terms supersede all prior agreements and representations, warranties or understandings between you and us regarding the same subject matter.

If any part of these terms are determined to be invalid or unenforceable, the invalid or unenforceable provision will be deemed superseded by a valid, enforceable provision that most closely matches the intent of the original provision and the remainder of the terms shall continue in effect.

You will not assign, transfer, sub-license, or otherwise divest your rights, responsibilities or obligations under these terms, without our prior written consent, which we may withhold for any reason. We may assign, these terms, in whole or in part, at any time.

If at any time we refrain from enforcing a provision of these terms, or give you extra time or other leeway to comply, this does not mean we have waived that provision or given up our rights to enforce that provision, or any other provision.

We will not be liable to you for any breach or failure to perform any of our obligations under these terms where the cause of this breach or failure is beyond our reasonable control, whether or not foreseeable by either party, including (without limitation) denial of service attack, internet outages, accident, adverse weather, inability to secure transportation, governmental act or regulation, third party acts or omissions and other causes or events.

These terms are governed by New Zealand law. You submit to the non-exclusive jurisdiction of the courts of New Zealand in relation to all disputes arising out of or in connection with these terms of use and/or the use of the site and games.
